Author agreement (public offer)
Version of 2 November 2026 · The primary version is in Russian; in case of discrepancy, the Russian text prevails.
AKI PRIME SYSTEMS LLC (the “Operator”, “we”) offers teachers, schools and other right holders (the “Author”) to publish their courses on the Aures Learning Platform and receive remuneration on the terms of this Agreement. The Agreement is a public offer under Article 369 of the Civil Code of the Republic of Uzbekistan.
1. Conclusion
1.1. Acceptance is the mark accepting the Agreement in the “Become an author” application or the first publication of a course in the Studio (Article 370 of the Civil Code; Law “On Electronic Commerce” No. ZRU-792 of 29.09.2022). Acceptance is recorded in the consent log.
1.2. An Author may be an adult (18+) citizen with legal capacity, a sole proprietor or a legal entity. Teachers and heads of partner schools get the Studio in their dashboard; independent authors — once the Operator approves their application. The Operator may decline an application without giving reasons.
2. Licence
2.1. The Author grants the Operator a simple (non-exclusive) licence to the course and its materials (texts, exercises, videos, images): to reproduce, store and make them available to the public via the Platform, show them to users, adapt them to the Platform’s formats (layout, division into lessons, subtitles), and use fragments and the course title in the Platform’s catalogue and promotion. Territory — worldwide. The licence is royalty-free except for the remuneration under section 4.
2.2. The licence is valid while the course is published, and indefinitely for users who have bought the course: a buyer keeps access even if the Author removes the course from the catalogue or terminates the Agreement.
2.3. The exclusive rights to the course remain with the Author (Law “On Copyright and Related Rights” No. ZRU-42 of 20.07.2006).
3. Author’s warranties and moderation
3.1. The Author warrants that they hold the rights to the materials or are entitled to use them, that the materials do not infringe third-party rights or the law, and that they comply with the “Content rules”.
3.2. Public courses are published after review by the Operator. The Operator may reject a course, request corrections, or remove a course from the catalogue for breach of the Agreement or the Rules or upon a justified complaint by a right holder.
3.3. If claims are brought against the Operator because of the Author’s materials, the Author settles them at their own expense and compensates the Operator’s proven losses.
4. Price and remuneration
4.1. The Author chooses the course price from the steps set by the Operator (as of this version: 20,000, 30,000, 50,000, 70,000 and 100,000 UZS; prices from 70,000 UZS apply only to courses of at least 20 lessons) or makes the course free.
4.2. Course sales. The Author is credited with 70% of the amount paid by the buyer. The remaining 30% is the Operator’s fee, from which it pays payment system fees, video storage, moderation and support.
4.3. Pro subscription. For every unique lesson of the Author’s paid public course completed by a Pro subscriber within a paid month, the Author is credited a rate — 400 UZS per lesson as of this version. All authors together are credited no more than 50% of what the subscriber paid for that month (for an annual subscription — 1/12 of the payment). If the rate multiplied by the number of author lessons the subscriber completed exceeds this cap, the cap is shared among the courses in proportion to the lessons completed. Example: a subscriber paid 79,000 UZS and completed 30 of the Author’s lessons — the Author receives 12,000 UZS.
4.4. The rate and cap are fixed when the subscription is paid and do not change for months already paid. The Operator notifies the Author at least 14 days in advance of any change to the rate, cap, price steps or sales percentage; changes apply to future sales and subscriptions.
4.5. No remuneration is credited for: “school only” and free courses; lessons completed by the Author themselves; lessons of a subscriber who bought that course separately (paid under clause 4.2); lessons not accepted by the Platform’s server.
4.6. If money is refunded to a buyer or subscriber, the remuneration credited for that payment is reversed (debited from the Author’s balance).
5. Settlement and payouts
5.1. Sales credits appear in the Studio immediately. Pro credits are calculated after the subscription month ends (with a 3-day margin to sync offline progress) and also appear in the Studio.
5.2. Payouts are made to the details the Author provides in the Studio once the balance reaches the minimum amount (100,000 UZS as of this version), at least once a month.
5.3. Taxes: if the Author is self-employed (status registered under the law; self-employment income is exempt from personal income tax under the Tax Code of the Republic of Uzbekistan), no tax is withheld from payouts; if the Author is a sole proprietor or a legal entity, the payout is made against an invoice and the Author pays taxes independently; if the Author is an individual without such status, the Operator, as a tax agent, withholds personal income tax and pays it to the budget. The Author is responsible for the accuracy of the information about their tax status.
5.4. The Operator may suspend payouts of credits that raise reasonable suspicion of manipulation until the review is complete (no longer than 30 days).
6. Prohibited actions
It is prohibited to artificially inflate sales or lesson completions: creating fake Accounts, using bots, paying for lesson completions, or agreeing with buyers to refund money outside the Platform. Credits obtained in this way are cancelled, and the Operator may terminate the Agreement unilaterally.
7. Term and termination
The Agreement is concluded for an indefinite term. The Author may remove a course from the catalogue at any time; a course with sales is not deleted so that buyers keep access. Either party may terminate the Agreement with 14 days’ notice via the Studio or support. Remuneration credited before termination is paid in the usual way, except amounts cancelled under section 6.
8. Liability and disputes
The Operator’s liability to the Author is limited to the remuneration credited to the Author over the last 3 months, except where the law does not allow such a limitation. The Agreement is governed by the laws of the Republic of Uzbekistan; disputes are resolved by negotiation and then in a court of the Republic of Uzbekistan at the Operator’s location.
